وكالة قانونية لتأسيس شركة جديدة Power of Attorney for Establishing a New Company

KNOW ALL MEN BY THESE PRESENTS that we ………….. Company (hereinafter referred to as "the Company “) duly incorporated in ……………… do hereby constitute and appoint Mr. ……………….., …………….. National, holder of Passport No. ………….. issued on …………. to be our true and lawful Attorney (hereinafter referred to as "the Attorney") to act for and on behalf of the Company  and to do all or any of the following acts and things relating to establishing and registering a new company, necessary, namely:	ليكن معلوما للجميع بموجب هذا السند بأننا نحن شركة ............. (ويشار إليها هنا فيما يلي أدناه بـ "الشركة") وهي شركة تأسست في ................ بموجب هذا نسمي ونعين السيد/ ......................... ، ......... الجنسية ويحمل جواز سفر رقم ...............، الصادر بتاريخ ...............، ليكون وكيلنا الحقيقي والشرعي (ويشار إليه فيما يلي أدناه  بـ "الوكيل") للتصرف لصالح ونيابة عن الشركة وليقوم بأي من الأفعال والأشياء اللازمة المذكورة أدناه، فيما يتعلق بتأسيس وتسجيل شركة جديدة  وهى على وجه التحديد:
1.To take all necessary actions as required, including but not limited to signing of all documents, Forms, applications arising out of or in connection with registration of trade marks, trade licenses, commercial registrations & chamber of commerce membership certifications, incorporation of new companies or dissolution of companies which the Company  so deems necessary, sale or purchase or transfer of or investment in or assignment of shares in the Company’s subsidiaries or associates or in companies in which the Company has investments in and to certify Board Resolutions & other Board related Documents and to  liaison with all Federal Ministries, Local Regulatory Authorities, Municipalities including the Emirates Securities & Commodities Authorities, Dubai Financial Market, Abu Dhabi Financial Markets, the Ministry of Planning, Department of Economic Development or such other competent Authority in the respective Emirate.	1. القيام بجميع الأفعال الضرورية كما يكون مطلوبا بما في ذلك لكن دون حصر التوقيع على جميع المستندات والنماذج والطلبات الناجمة عن أو فيما يتعلق بتسجيل العلامات التجارية والتراخيص التجارية وشهادات السجل التجاري وشهادات عضوية غرفة التجارة وتأسيس الشركات الجديدة أو حل الشركات كما يراه الوكيل ضروريا وبيع أو شراء أو تحويل أو الاستثمار في أو التنازل عن أسهم في الشركات التابعة والزميلة للشركة أو في شركات يكون للشركة استثمارات فيها وأن يقوم بتصديق قرارات مجلس الإدارة وغيرها من المستندات الخاصة بمجلس الإدارة ومراجعة جميع الوزارات الاتحادية والهيئات التنظيمية المحلية والبلديات بما في ذلك هيئة الأوراق المالية والسلع بالدولة وسوق دبي المالي وسوق أبو ظبي للأوراق المالية ووزارة التخطيط ودائرة التنمية الاقتصادية أو غيرها من السلطات المختصة في الإمارة المعنية
2. To appoint lawyers to institute legal proceedings whether civil or criminal before any court of law in the United Arab Emirates, act for or represent the Company before any court of law in the United Arab Emirates and to sign documents, swear affidavit statements, objections, plaints, appeals, revisions, applications and to defend all actions, suits legal proceedings whether civil or criminal and to enforce judgments, decrees and orders.	2. تعيين المحامين لاتخاذ الإجراءات القانونية سـواء كانت مدنية أو جنائية أمام أي محكمة في دولة الإمارات العربية المتحدة وأن يتصرف لصالح الشركة ويمثله أمام أي محكمة في الإمارات العربية المتحدة وأن يوقع المستندات وأن يحلف اليمين على الإقرارات والإفادات وأن يقــدم الاعتراضات ولوائح الدعاوى والاستئناف وطلبات إعادة النظر والطلبات وأن يتولى الدفاع في جميع القضايا والدعاوى والإجراءات القانونية سواء كانت مدنية أو جنائية وأن ينفذ الأحكام والقرارات والأوامر الصادرة من المحكمة.
3. To draw, sign, execute and deliver any notices or demands through the Notary Public or any other competent authority or officer and whenever necessary to appear before Court Notaries in Dubai or any other Emirate in the United Arab Emirates in Dubai or any other Emirates in the United Arab Emirates in connection with any  proceedings brought or to be brought by or against the Company before any court or other judicial or quasi-judicial or other governmental or non-governmental tribunal in any part of the United Arab Emirates.	3. تحرير وتوقيع وتنفيذ وتسليم أي إشعارات أو مطالبات عن طريق الكاتب العدل أو أي سلطة مختصة أو أي مسـئول آخــر ولــه أن يمثل متى كان ذلك ضرورياً أمام الكاتب العدل في دبـي أو أي إمارة أخرى في دولة الإمـارات العربية المتحدة فيما يتعلق بأي إجراءات قانونية تم أو سيتم اتخاذها من قبل أو ضد الشركة أمام أي محكمة أو أي هيئــة قضائية أو شبة قضائية أخرى أو أي هيئـــة حكومية أو غير حكومية أخرى في أي مكان في دولـة الإمارات العربية المتحدة.
This  Power  of  Attorney  shall  in all respects be interpreted in accordance with, and governed by the laws applying in the United Arab Emirates.	تفسر هذه الوكالة القانونية من جميع  النواحي وتخضع للقوانين المعمول بها في دولة الإمارات العربية المتحدة.

توكيل عام General Power of Attorney

to buy, sell goods and services related to such company. To receive, waive, purchase, sell and mortgage the vehicles and rent the same to receive the hire amount, to complain and report to police any matter related to such company, to follow the said report before public prosecution. To receive any amount owed from third party, to follow up and represent the said Companies and Establishments before the court whether the company is plaintiff or defendant, to appoint and terminate lawyers to defend on behalf of the Establishment, to pay court fees, rent, fine and goods, prices, to appoint and terminate employees of the said Establishment, to fix their salaries and control and supervise their job and other capacity without limitation.	كما وان له حق بيع وشراء السلع والخدمات المتعلقة بالشركات والمؤسسات والقبض والصرف والإبراء وشراء المركبات وبيعها ورهنها وإدارتها وتأجيرها وقبض القيمة الايجارية وفتح البلاغات باسم الشركات والمؤسسات لدى مراكز الشرطة والنيابات العامة ومتابعتها والتنازل عنها بعد استيفاء قيمتها وله أن يطالب ويستلم أية مبالغ أو مستحقات مترصدة للشركات والمؤسسات بذمة الغير ومتابعة المطالبات القضائية وتمثيل الشركات والمؤسسات في أي دعوى مرفوعة منها أو ضدها بالخصومة مع أي شخص أو أشخاص وتوكيل المحامين لمتابعة المطالبات القضائية وعزلهم وله حق دفع الإيجارات والرسوم والغرامات وبدلات الاستهلاكات وأثمان البضائع الخاصة بالشركات والمؤسسات وصرف بواقيها، وله حق تعيين موظفي المؤسسه وعمالها والتعاقد معهم وتحديد أجورهم ودفعها والأشراف والمناظرة على سير أعمالهم وإنهاء خدماتهم وغير ذلك من أعمال الإدارة دون حصر
To apply for residence visas, labor cards, renewal and cancellation of the same, renewal of the cars registration, to pay the fee for doing so he is represent the Establishment before official, Semi Official Department, Federal and Local including Labor Department, Immigration and Naturalization, Municipality, Department of Economic Development, Public Prosecution, Customs, Water and Electricity Corporation, Banks, to submit and follow up Companies and Establishments matters before the said departments. Generally he has the right to dispose Establishment properties or mortgage it with financial company whether movable or in-movable. and he has the right to sell my shares in the company to himself or to the others for the prices he feels it suitable, he also has the right to sign on my behalf all the contracts and the appendixes in this regard.	وله حق استخراج بطاقات الموظفين والعمال واقاماتهم وتجديدها وإلغائها وتجديد تراخيص سيارات الشركة ودفع الرسوم المقررة وصرف بواقيها, وله على سبيل ما تقدم أن يمثل الشركة أمام جميع الجهات والدوائر الرسمية وشبة الرسمية الاتحادية أو المحلية بما فيها وزارة العمل والشئون الاجتماعية وإدارة الجنسية والهجرة والبلديات والدوائر الاقتصادية وغرف التجارة والصناعة والمطارات الدولية وأدارت المرور ومراكز الشرطة والنيابات العامة ودائرة المواني والجمارك وهيئة المياه والكهرباء والبنوك وتقديم المعاملات لهذه الجهات واستلامها كما أن له حق التصرف بممتلكات المؤسسه ومنقولاتها وسياراتها بكافة أوجه التصرف والبيع والرهن لدى شركات التمويل, وله الحق في بيع حصتي في الشركات والمؤسسات لنفسه أو للغير وبالسعر الذي يراه مناسباً ويقبل به والتوقيع نيابة عني على جميع عقود البيع والملاحق المعدة لذلك,
To appoint and terminate lawyers and to sign before a notary public, appoint liquidator to carry out liquidation to the Companies and Establishments in the light of a decision passed by the partners, represent me in the General Assembly meetings (Normal & Ex-ordinary), attend all the meetings and sign on all the minutes of the General Assembly meeting.
